Board of Statutory Auditors
The Board of Statutory Auditors oversees the compliance with applicable law and with the Company’s By-laws, as well as observance of the principles of proper management and assesses the adequacy of the internal controls and accounting reporting system adopted by the Company and its implementation.
The Board of Statutory Auditors comprises three Standing Auditors and two Alternate Auditors. Members of the Board of Statutory Auditors are appointed for a three-year term and may be re-elected.
Members of the Board of Statutory Auditors in office at present were appointed on 28 April 2022 and will remain in office until approval by the Shareholders’ Meeting of the financial statements for the year ended 31 December 2024.

Composition
Born in Gardone Val Trompia (BS), he graduated in Economics at the University of Pavia. He is enrolled at the Milan Board of Certified Public Accountants and in the Registry of Legal Auditors, as well as on the list of court-appointed technical consultants kept by the Court of Milan, specialized in company and corporate valuations. He is co-founder and name partner of Paroli Bruno Fossa Studio Legale e Tributario and he is associate of Nedcommunity.
He collaborated with firms belonging to the networks of leading companies, such as Arthur Andersen and KPMG, and with magazines specialised in corporate law.
He is currently a member of various board of statutory auditors of companies and multinational groups, such as Samsun Electronics Italia S.p.A., Bystronic Automation Technology S.p.A. and Bystronic Tube Processing S.p.A., as chairman, Mars Italia S.p.A., I.R.C. Industrie Cosmetiche Riunite S.p.A., Immobiliare Elfin S.p.A., Present S.p.A., Rexel Italia S.p.A., as standing statutory auditor, and Euronics Italia S.p.A., Lactalis Nestlé P.F. Italia S.r.l., Ipsen S.p.A., Medtronic Italia S.p.A. and Pompetravaini S.p.A., as alternate statutory auditor.
Born in Turin, he graduated in Economics. He is enrolled at the Turin Board of Certified Public Accountants and in the Registry of Financial Auditors, as well as, in the list of expert witnesses for the Court of Turin.
From 1980 to 1982, he worked at Arthur Andersen. In 1982, he started his career as self-employed professional which he still pursues at his Studio Caretti - dottori commercialisti di Torino.
He was member of several board of statutory auditors of companies, such as Diasorin S.p.A., as standing statutory auditor, Eurofiere S.p.A., Sales S.p.A., Ocap S.p.A. and Scarpe & Scarpe S.p.A. He is currently a member of the board of auditors of Acqua Sant'Anna S.p.A., as chairman, Monge & C. s.p.a., Bimotor S.p.A., Restart S.p.A., acting as standing statutory auditor.
He has edited several scientific papers and was a presenter at several congresses.
Born in Turin, she graduated in Economics at the University of Turin. She is enrolled at the Turin Board of Certified Public Accountants and in the Registry of Financial Auditors. She is in the list of expert witnesses for the Court of Cuneo.
She was an auditor in the Turin Board of Certified Public Accountants from 1997 to 2000 and subsequently Director from 2000 to 2016 and Secretary from 2012 to 2016. She is currently the representative for the Equal Opportunity Committee.
She is qualified to teach business management and from 2010 to 2019 she was contract professor in the Management Department at the University of Turin. She has edited multiple scientific papers, has been a presenter at various conventions, and has participated in workshops on control, accounting, expert reports and court-appointed consulting, and the laws on public bodies and non-profits issues. She is a director at the Piero Piccatti Alta Scuola di Formazione.
She has been a certified public accountant since 1987 and is a tax consultant for extraordinary financial transactions. She is also a member of boards of statutory auditors of corporations, local public bodies, non-profits and foundations. She is the owner of the Margherita Spaini firm in Turin.
Born in Genoa, he graduated in Economics at the University of Genoa. He is enrolled at the Genoa Board of Certified Public Accountants and in the Registry of Financial Auditors, as well as in the list of expert witnesses for the Court of Genoa. He works as a certified public accountant and auditor.
He serves as a statutory auditor for various companies, also operating in the nautical sector, and is a director for various companies. He has made presentations at specialized conventions, primarily on tax issues, and is the author of various tax papers.
He is a partner of Studio Piana Illuzzi Queirolo Trabattoni in Genova.
Born in Parma, she graduated in Economics at the University of Parma. She is enrolled at the Parma Board of Certified Public Accountants and in the Register of Financial Auditors, as well as professor of professional associations and public schools in accounting, tax and corporate law.
She was a member of several committees and commissions of the Association of Certified Public Accountants of Parma, of which she was secretary until February 2022.
She is currently a member of the board of statutory auditors of various companies and foundations, such as Emiliambiente S.p.A., IT City S.p.A., Acer Parma, Metalnova S.p.A., Fonriba S.r.l., Fondo Aviva Dipendenti, Lenz Foundation and Saveriana Cultural Foundation.
